Limited License. Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Report solely for your internal business purposes.
You may not, without the prior written consent of the Licensor:
- Share, distribute, publish, or disclose the Report to any third-party;
- Use the Report in any public, client-facing or marketing materials;
- Post or upload the Report to any external system, website or AI tool;
- Create or distribute excerpts, summaries, or derivative works externally.
You may share the Report only with your employees, contractors or advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as these terms.
Confidentiality. The Report is Confidential Information. You agree to:
- Protect it using reasonable care;
- Prevent unauthorized access, use or disclosure;
- Promptly notify Licensor of any breach or unauthorized use.
Ownership. The Report is licensed, not sold. All rights not expressly granted herein are retained by SEMI.
Warranty Disclaimer. THIS REPORT IS PROVIDED “AS-IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY, COMPLETENESS OR RELIABILITY. LICENSOR DOES NOT WARRANT THAT THE REPORT, OR ANY CONTENT THEREIN, WILL NOT INFRINGE OR MISAPPROPRIATE THE RIGHTS OF ANY THIRD PARTY, OR THAT THE REPORT WILL BE ERROR-FREE OR SUITABLE FOR YOUR USE.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE REPORT EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT OR TORT, INCLUDING NEGLIGENCE, SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR ACCESS TO THE REPORT.
Termination. Licensor may suspend or terminate your access to the Report at any time for violation of these terms. Upon any termination, you must:
- Cease use of the Report
- Delete or destroy all copies in your possession or control
Miscellaneous. Any disputes under this Agreement shall be resolved under California law without reference to conflict of laws principles. For any disputes arising out of this Agreement, the parties hereby consent and submit to the exclusive jurisdiction of the federal and state courts sitting in the Northern District of California. No waiver of any right under this Agreement shall be deemed effective unless contained in writing signed by a duly authorized representative of Licensor, and no waiver of any past or present right arising from any breach or failure to perform shall be deemed to be a waiver of any future right arising under this Agreement. If any provision in this Agreement is invalid or unenforceable, that provision shall be construed, limited, modified or, if necessary, severed, to the extent necessary, to eliminate its invalidity or unenforceability, and the other provisions of this Agreement shall remain in full force and effect. This Agreement and the use of the Report provided hereunder are not assignable without the prior written consent of Licensor. Any attempt at assignment by you, including by means of merger, acquisition, operation of law or otherwise, without such consent shall be null and void and of no force and effect. You hereby agree not to knowingly, directly or indirectly, violate any local, state or federal law or regulation of the United States, or any applicable U.S. or foreign export provision. You are responsible for payment of all such taxes and duties.
This Agreement sets forth the entire understanding and agreement between you and Licensor and supersedes all prior and/or contemporaneous proposals or communications, oral or written, between the parties rlating to the subject matter of the Agreement.
No modification of the Agreement shall be binding unless it is in writing and is signed by authorized representatives of both parties.
